About Peter Weisman
Peter is an entrepreneurial general counsel and business advisor with over 30 years’ experience providing counsel and handling legal and business matters for principals and senior management of various middle-market companies and private investment funds. His practice extends beyond traditional legal services, offering strategic analysis, zealous advocacy and sound professional judgment, all delivered with the utmost integrity.
Peter began his career in the New York office of Latham & Watkins, where he worked on large and mid-sized corporate transactions and restructurings. He then joined Price Waterhouse (now PwC) as a senior management consultant in their management consulting services group.
Peter spent most of his time in independent law firm practice as a corporate and real estate attorney at boutique law firm Kleinberg, Kaplan, Wolff & Cohen, first as an associate and then partner. There, he honed his skills in complex transaction structuring, negotiation and drafting across diverse practice areas, becoming recognized as a leading practitioner and pioneer in Private Investment in Public Equity (PIPE) transactions. During this period, he served clients as outside general counsel and assisted in-house counsel.
Since 2002, through Peter J. Weisman, P.C., Peter has served as fractional or captive General Counsel consecutively for four private investment funds, including two PIPE funds, a volatility arbitrage fund and a multi-strategy family office. This has involved managing the entire legal function, from handling transactional and corporate work to advising on corporate, securities, governance and compliance issues. He also oversees litigation and manages outside counsel. Peter’s role often expands into business functions, including sourcing and vetting deal flow and operating the local New York office as managing director.
Additional Business Activities:
Directorship. Served as a Director for a publicly traded company, providing corporate governance and strategic oversight, contributing to the company's overall direction and leadership.
PipeFund Services Organization. Developed a primarily web-based platform called PipeFund for expediting and managing the documentation and closing process for PIPE transactions, including standard forms of documents. Substantially all assets were sold to a publicly-traded market leader in 2010.
